It just comes down to what each side sees as risk reward. maybe tsun just says pay him, sign NDA and go away-maybe they realize they have 6 million reasons to take a shot at squeezing him. Maybe they have a lead pipe cinch smoking gun that they can fire him for cause.
If they did want to play hardball-he'd end up settling for less than the 6 million. It's just the nature of the game. Somewhere between $0 and $6MM is a sweet spot to mitigate the risk they might win and, more practically, spend the money to fight them to find out.
Anytime litigation gets to an actual trial of any sort, according to every lawyer I have ever known, it's 50/50. So what is the number you are willing to bet on that coin flip, what is the number you are willing to spend to get to coin flip day and what can you afford to lose? tsun can lose and afford to pay his $6MM a lot more comfortably than he can afford to spend a few hundred grand on lawyers to possibly lose his 6 million.
Litigation is like playing poker. You don't want to be short stacked because the bigger stack guy can just lean on you.
