It didnt change that play the DB was already beat and the ball was a foot away from being caught when the whistle blew.

Once the whistle blows the play is dead, even if it is erroneous. The down should not have, technically, counted. But in this case the whistle was so late it didn't change the outcome of the play, so it would've been unfair to Cinci if they took the TD away.

Two wrongs actually did make a right in this case.
