Outside of State College, it appears that Penn State apparel has had a hard time coming off the shelves.


Matt Powell, an analyst for SportsOneSource, a sports market retail tracking firm that monitors sales in sporting goods stores, says that in July, Penn State merchandise sales were down 50 percent from where they were during the same period last year. Powell's company does not track sales at college bookstores.
"The bottom just dropped out," he said. "The trend certainly seems to show that fans are moving away from supporting Penn State."

What person would be caught dead even touching one of those jerseys?!?

Ex offiicio means "by reason of the office". Basically, because he's the president of the school, his title gives him the office of secretary of the board. Here's his duties (on the board):

The secretary shall perform the corporate duties which pertain to that office; he/she shall be custodian of the corporate seal, conduct the ordinary correspondence of the Board of Trustees and maintain an accurate record of all proceedings of the Board and of the executive​
committee.

He's just that - a secretary. He probably doesn't even meet with them in that capacity.

Alex - your reading of the clause is that the board award of one of those nine persons authority to sign a contract.

Actually, the clause means that each of those nine individuals has authority to sign on behalf of the board.

here is a link regarding more university bureaucratic crap which clearly indicates that the University President is an authorized University signatory

Alex, I read the bolded part from the second link as that these persons/offices have been authorized by the BOT to sign for the University, not that they need the authorization of the Board for each time/item they sign.

That is probably the key phrase, and past instances will be how it is likely interpreted. Have the persons listed needed to get approval to sign for the University from the Board in the past, or have they been able to sign without specific approval by the Board in each individual instance because of their authorization?

Help me out on this, cause I'm not seeing that aspect of it. Again, from what I know of being a trustee the last 7 years myself at an incorporated non profit, there's nothing I'm seeing in the bylaws that were in the previous link that states that the secretary of the board of trustees (nor the school president) can sign anything without the express concent of the board.

Usually, the board chairperson signs that document, unless there are other circumstances that arise, such as the chairperson being unable to sign (because he/she cannot fulfill the duties of the office), and the same goes for the vice chair as well.

Ironically, I'm the secretary of our board of trustees....:biggrin:

Does your board consist of 32 members? Do some of the members on your board have a idol worship problem with a dead guy?

If the answer to the above 2 questions is NO, then you can not relate any of your experiences to the Penn State BOT.

These are not normal people, therefore it is not a normal BOT.

The board may, and in PSU's case has, delegated signatory authority to whomever it wishes. Your board may or may not have similar signatory authority. There is no requirement that these structures be uniform, which accounts for why your church board may well be set up differently.

This is classic 5 stages of grieving. First denial. We have seen that in spades. Now anger. Lashing out at the NCAA with threats of lawsuits. Next will be bargaining. Probably after the lawsuit is thrown out. I am sure after a football season or two depression will set in. Sadly I am not sure they will ever hit the last stage, acceptance.
