It was pretty clearly fouled into the catcher's mitt.

On the HBP, it's all about sound. If there was a sound near the time the ball passed through the area that didn't sound like it hit the bat (I'm pretty sure it didn't hit the bat, not saying it DID hit Utley), the ump is going to call it....
